Company Formation Switzerland offers two major types of business entity for foreign investors:

• Limited Liability (Sàrl)
• Specialist Corporation (SA)

What are the main features of a Sàrl?

• Mainly used for small to medium sized businesses
• Minimum share capital is 20,000 Swiss Francs (€12,320)
• No restrictions on foreign ownership
• Minimum of two people required to establish the business
• One of the directors must be a Swiss resident

What are the main features of an SA?

• Mainly used for medium to large sized businesses
• Minimum share capital is 100,000 Swiss Francs (€61,600)
• At least 50% of share capital to be paid up
• Shareholders can remain completely anonymous
• Majority of board directors must be Swiss residents

Is Company Formation Switzerland a complicated process?

Switzerland has its fair share of bureaucracy, but it is arguably easier to set up a business in Switzerland, rather than in major EU countries such as Italy, Germany, France or the UK. Everyone, including foreigners, can set up a business in Switzerland. The formalities of company incorporation Switzerland include the following:

Your chosen directors and shareholders of the new company sign official documents that allow us to make them the directors of your ready made company. We transfer the company into your power and it is ready to trade immediately.

Changing the company name of the Ready Made Company

We can also file a company name change the same day.

Appointing the new Directors

To appoint the directors of your new company you will need to sign official forms that state this. This can also be done through giving us a power of attorney to do this on your behalf.

We will be removed as directors of the company and it will be transferred over to you. You then receive the Certificate of Incorporation , Memorandum and Articles of Association of the company and the Company secretarial Forms.

Established Ready Made Shelf Companies, sometimes called old shelf or established companies, are dormant / inactive companies that were incorporated in the previous years but have never been active.
